The general welfare of the individual is the first concern of a
democratic society. Health and education become important therefore,
for any organization devoted to serving individual needs. Within the
vast context of organized social, educational , and welfare services,
the individual must be given the opportunity to appreciate the
heritage of science as it bears upon health and to enjoy the leisure
pursuits which are culturally significant. The opportunity to achieve
a measure of self-realization through participation in an array of
sports, games, dance, and other activities which are developmentally
so important, must be provided.
To promote the organization of school, community and national
programs of health education, physical education, recreation and
dance which will embody such opportunities and which will ensure the
inclusion of such programs within the best philosophical and social
content of American life, the Central District Association of the
American Alliance for Health, Physical Education, Recreation and
Dance is dedicated.
The name of the organization shall be the Central District
Association of the American Alliance for Health, Physical Education,
Recreation and Dance.
The Central District Association of the American Alliance of Health,
Physical Education, Recreation and Dance (herinafter referred to as
the "District") is an integral part of the American Alliance for
Health, Physical Education, Recreation and Dance (hereinafter
referred to as "The Alliance"). As such, it is dedicated to
furthering the purposes of The Alliance within the geographical area
of the District.
Section 1.7.2.2
The geographical area within which the District shall operate is
comprised of the following states:

The purposes of the District shall be identical to the purposes of the Alliance, as they are applicable to the District.
The District shall be an educational organization structured for the purpose of supporting, encouraging, and providing assistance to the member groups and their personnel throughout the District as they seek to initiate, develop, and conduct programs in health, leisure, and movement-related activities for the enrichment of human life.
The general objectives to be sought in fulfilling the above stated purpose are:
The members of the District shall be those members of The Alliance residing within the District. Membership classes identical to those established by The Alliance shall be established by the District. Such classes, together with voting and other rights accruing to each, may be more specifically set forth in the Bylaws.
The District shall not assess dues from the members additional to dues assessed by The Alliance.
The District shall be governed by a Representative Assembly and an Executive Board. These bodies shall act within the framework of this constitution and Bylaws. They are subject to the ultimate authority of the duly constituted governing authority of The Alliance. The composition of these governing bodies, the qualifications, and methods of selection of their members, and their respective powers or duties shall be set forth in the Bylaws.
The District shall have officers as designated in the Bylaws. The
qualifications of officers, the method of their selection, and their
respective powers and duties shall be set forth in the Bylaws.
The District may establish Divisions corresponding to areas of
special interest within the framework of the District and its
purposes. Divisions may be further divided into appropriate
sub-structures. These sub-structures shall not adopt any purpose or
policy or engage in any activity inconsistent with the purposes of
the District or with any provision of this Constitution or the Bylaws
of the District or with any purpose or policy of The Alliance. All
governing authority of any such Division or Section shall be subject
in all respects to the governing authority of The Alliance and the
governing authority of the District.
No part of the net earnings of the District shall inure to the
benefit of any member, sponsor, donor, creator, director officer,
employee, or without limitation, any other private individual or to
the benefit of a corporation or organization, any part of the net
earnings of which inure to the benefit of any private individual;
provided, this shall not prevent payment of reasonable compensation
for services actually rendered to or for the District in effecting
its purpose.
The District shall not divert any part of its income or corpus to
any member, sponsor, donor, creator, director, officer or employee;
by lending any part of its income or corpus without receipt of
adequate security and a reasonable rate of interest; by paying any
compensation in excess of reasonable allowance for salaries, or other
compensation for personal services actually rendered; by making any
purchase of security or other property for more than adequate
consideration for money or money's worth; by selling any substantial
part of its securities or other property for less than adequate
consideration for money or money's worth; or by engaging in any other
transaction which either, directly or indirectly, results in such
diversion of its income or corpus. The District shall not make any
accumulation of its income, unreasonable in amount or duration, or
use any income for purposes other than the objects herinbefore set
forth or invest any income in any manner as to jeopardize the
fulfillment or carrying out of its objects. The District shall not
devote a substantial portion of its activities to carrying on
propaganda or otherwise attempting to influence legislation, and in
no event shall the District engage in any legislative activities
other than those in direct furtherance of the District's stated
objectives. The District shall not participate in or intervene in any
political campaign on behalf of any candidate for public office. In
general, The District shall not act in any way or engage in any
activity which might affect its right or the right of The Alliance to
full tax exemption or the right of donors to the District or the The
Alliance to full tax deduction for their contributions to the
District or to The Alliance; and the District shall be so operated as
to be entitled to and receive all tax exemptions, federal or local,
which may from time to time be granted to charitable, scientific, or
educational associations or foundations.
As an integral part of The Alliance, the District shall have
purposes and engage in activities consistent with the policies and
activities of The Alliance and consistent with the organization's
status as a charitable and educational organization as defined in
Section 501 (c) (3) of the Internal Revenue Code of 1954.
Section 1.7.9.2
In order to ensure compliance with Section 1 above, the District
shall, as requested by The Alliance, submit reports of past
activities and reports of proposed activities and financial
statements. The District shall engage in only those activities and
make only those expenditures of funds which are congruent with The
Alliance policies.
Upon dissolution, all the assets of the District shall be and remain assets of The Alliance.
The District may adopt Bylaws which shall be consistent with this
Constitution. Such Bylaws may contain any provision necessary for the
orderly administration of the District and its affairs including, but
not limited to, the governing authorities, officers, elections, and
meetings; provided that should there be any inconsistency between
this Constitution and the Bylaws, this Constitution shall
prevail.
This Constitution is a uniform Constitution promulgated by The Alliance for adoption by its Districts and, as such, shall be unamendable without the expressed consent of The Alliance and its counsel. In the opinion of The Alliance and its counsel, amendments be required or the purpose of qualifying or retaining qualification under Section 501 (c) (3) of the Internal Revenue Code of 1954 or any successor provision thereto, such amendments, as promulgated by The Alliance will become part of the Constitution.

Bylaws

MEMBERSHIP
Section 1.8.1.1
Membership in the Central District Association of the American Alliance for Health, Physical Education, Recreation and Dance shall be granted to all members of the American Alliance for Health, Physical Education, Recreation, and Dance who reside within the boundaries of the Central District. There shall be no dues for membership in The District other than current membership in The Alliance.
Members of The District shall be designated as professional members, student members, emeritus members and retired members. There shall be four types of professional memberships: regular, fellow, life fellow, and life membership.
Professional members shall consist of persons professionally engaged in one or more of the areas of Alliance concern. Additional requirements for fellow, life fellow and life memberships shall be:
1.8.1.3.1. Fellows and life fellows shall be those who, prior to December 31, 1965, paid an amount designated as fellow and life fellow membership fees by the Board of Directors and Representative Assembly. All shall have held continuous membership in the Association.
1.8.1.3.2. Life members shall be those persons who buy an amount designated by the Board of Governors and Alliance Assembly. Life membership shall be available to individuals but not to agencies, associations, or institutions.
Student members shall be students attending institutions of higher learning and preparing for work in the various areas of The Alliance concern. They shall be undergraduate students, and full-time graduate students who qualify for a one-year membership as herinafter provided.
A graduate student shall meet the following qualifications
1.8.1.4.1. Be enrolled during the academic year as a full-time graduate student as defined by his institution, and
1.8.1.4.2. Be approved by his department chair or major graduate advisor, and
1.8.4.1.3. Not have been previously granted student membership as a graduate student.
Emeritus membership shall be granted upon written application, to a person who has met all the first three an/or fourth of the following qualifications:
1.8.1.5.1. Has been a professional member in good standing for 35 years, and
1.8.1.5.2. Has reached age 65,
1.8.1.5.3. Has retired from full-time professional employment, and/or
1.8.1.5.4. Has been a professional member for 25 years, and regardless of age, has had to retire because of disability.
Emeritus members shall be eligible, without dues, to participate in Alliance matters.
Retired membership shall be granted, upon written application, to a person who has met all of the following qualifications:
1.8.1.6.1. Has been a professional member in good standing for a minimum of 10 years, and
1.8.1.6.2. Has reached the minimum age of 62, and
1.8.1.6.3. Has retired from full-time professional employment.
Retired members shall receive the full benefits of regular membership.
Only professional members have the right to hold office.
Section 1.8.2.1
The Representative Assembly, which is subject to the ultimate authority of the duly constituted governing authority of The Alliance shall consist of the Executive Board, all of the District Past-Presidents, and the representatives of the State Associations. Members of the Representative Assembly, unless otherwise stipulated in Article V, Section 1.8.5.4, shall have held two (2) years current membership in The District prior to election to the Representative Assembly.
The number of state representatives shall be determined on the basis of the number of professional members of The Alliance residents within the state, as of May 31 of the preceding calendar year; two representatives from each state, one of whom shall be the President of the State Association, regardless of the number of members, three representatives from each state having 200-399 members and four from each state having 400 or more members. If no state organization exists, representatives from that state shall be selected by the Representative Assembly.
All members of the Representative Assembly who are elected by the Representative Assembly shall be elected for one year with the exception of the officers.
It shall be the duty of the Representative Assembly to effect all changes in the Constitution and Bylaws; to elect officers; and to pass legislation necessary for the conduct of the District Legislation may be initiated with the Representative Assembly or by members of the District, providing in the latter case that twenty-five members in good standing petition the Representative Assembly in writing at a regular meeting.
The Secretary shall keep a record of the proceedings of the Representative Assembly and the Executive Board and shall make a report at each meeting and at The District Convention. The Secretary shall, in addition, send a report to The Alliance, within thirty days after the date of the meeting. The secretary shall inform the Executive Board of all requirements necessary to obtain and hold membership in good standing in The Alliance.
The Representative Assembly shall elect officers, select the Convention city, and take care of other unfinished business. Special Representative Assembly meetings shall be called by the President on the request of any three members of the Representative Assembly to carry on such business as seem advisable concerning the District. Notice shall be mailed to all Representative Assembly members two weeks in advance of the special meeting unless said meeting occurs at the time of the annual Convention.
The term of office of members of the Representative Assembly who are members by virtue of being members of the District Executive Board, with the exception of the Secretary, Treasurer, and District Representative, shall begin immediately after the close of the Convention at which they assumed their respective offices and shall terminate at the close of the following year's Convention.
The term of office of members of the Representative Assembly who are members by virtue of being approved representatives of State Associations as outlined in Article II, Section 1.8.2.1, of the Bylaws shall begin on the first day of the Convention of the following year. State representatives may serve more than one term. The number of terms shall be determined by the individual States of the District. The representatives shall be certified to the District Secretary by the Presidents of the respective State Associations.
Members of the Representative Assembly may hold only one vote, either as a regular member of the Representative Assembly or as a proxy member. Authorization for representation by proxy must be submitted in writing to the Secretary before the meeting convenes. This written proxy is not transferable. It must name the specific person authorized to cast the vote and it must be signed by the member for whom the proxy is designated. If a proxy is issued to more than one person, it becomes automatically cancelled. A person may serve as a proxy for only one member. It is understood that the membership of the District Past-Presidents in the Representative Assembly will be of a non-proxy type; that is, no other person can represent a Past-President in their absence.
In case of a vacancy in the Representative Assembly, the Executive Board shall have the power to appoint a member to fill the vacancy unless the group represented shall have made other provisions. In case of a vacancy in which there is an "Elect" officer for the position in question, the appointment shall be this "Elect" person. In case the vacancy is 60 days or more, this appointee shall be considered as serving one of the two consecutive years for which that person is eligible to hold office.
See Article IV, Section 1.8.4.2, for the procedure to follow in case of an unexpected vacancy, between elections, in either the position of Secretary or the position of the Treasurer.
Twenty-five members of the Assembly shall constitute a quorum.
EXECUTIVE BOARD
The Executive Board shall consist of the President, President-Elect, the immediate Past-President, the five Vice-Presidents, the five immediate Past-Vice-Presidents, the five Vice Presidents-Elect, the Secretary, the Treasurer, the Executive Director, the District Representative to the Board of Governors of The Alliance and a Parliamentarian. The Parliamentarian and Executive Director shall have no vote. A quorum shall consist of a majority of the members of the board (11).
OFFICERS
Section 1.8.4.1
The officers of the District shall be President, President-Elect, Immediate Past-President, Vice-President for Health Education, Vice-President for Sport & Physical Education, Vice-President for Leisure & Recreation Education, Vice-President for Dance, Vice-President for General, the Vice-Presidents-Elect of each Division, the Immediate Past Vice-Presidents of the Divisions, the Secretary, the Treasurer, the Executive Director and the District Representative to the Alliance.
The President shall act as Chair of the Executive Board, the Representative Assembly, and the Convention Committee of the District Convention as hereinbefore and hereinafter provided. The President shall appoint all committees with the exception of such Standing Committees as are authorized by the Representative Assembly. In case of an unexpected vacancy in the office of either Secretary or Treasurer between elections, the President, with the approval of the Executive Board, shall have the power to appoint a member to fill the vacancy for the remainder of the term.
The President-Elect shall act for the President in case of absence. In the event of death or resignation of the President or any of the five Division Vice-Presidents, the term of office shall be completed by the respective officer-elect who then shall serve the term for which the officer was elected.
In the event the office of President-Elect becomes vacant, The District Nominating Committee shall prepare a slate of two candidates and a mail vote shall be taken in accordance with the District Bylaws. If the vacancy occurs within 60 days of the Annual Convention, the office shall remain vacant. In this case, the President shall be elected at Convention time.
The Immediate Past-President shall act a Chair of the Past-Presidents, and as a member of the Financial Advisement Committee, the Convention Site Committee, and the Structure and Function Committee, eventually becoming Chair.
The Vice-President shall serve as Coordinator of the respective Division which include the Sections. These shall be as follows:
Vice-President for Health Education: School Health Education, Community Health Education.
Vice-President for Sport & Physical Education: Aquatics, Elementary Physical Education, Middle/Junior High School Physical Education, Secondary Physical Education, College
Physical Education, Adapted Physical Education and Sport.
Vice-President for Leisure & Recreation Education: Leisure Education, Therapeutic Recreation, and Recreational Sports.
Vice-President for Dance: Dance Performance, and Dance Education.
Vice-President for General: Student Faculty Advisor, History, and Research.
The Vice-President shall advise in the work of the Sections, and in planning the Convention program of the Sections, and serve as liaison between National and District, and District and State Associations in matters pertaining to the Division.
The secretary shall keep all records, and perform other duties as the Representative Assembly may direct. The remuneration for this office shall be subject to vote of the Representative Assembly.
The Treasurer shall collect and disburse all district monies, prepare district budgets, and perform other duties as the Representative Assembly may direct. The remuneration for this officer shall be subject to vote of the Representative Assembly.
ELECTION OF OFFICERS
Section 1.8.5.1
The President-Elect, Vice President-Elect for Health, Vice President-Elect for Sport & Physical Education, Vice President-Elect for Leisure & Recreation, Vice President-Elect for Dance, and Vice President-Elect for General shall be elected at the time of the last regular meeting of the Representative Assembly and shall serve until the adjournment of the next annual Convention.
The Secretary and the Treasurer shall be elected for two year terms at the last meeting of the Representative Assembly. The Secretary shall be elected on even years and the Treasurer on odd years. Their terms of office shall expire at the close of the fiscal year two years after their election.
The President-Elect and the Vice-Presidents-Elect of the Divisions shall automatically succeed to their respective office at the end of the next annual meeting following their elections.
Candidates for the office of President-Elect must have served as an officer of the District, a Convention Manager, or have been an officer of a State Association within the Central District.
The District Representative to The Alliance Board of Governors shall be elected by the Representative Assembly for a three-year period and shall assume office on June 1 following election. This person shall have had experience on the District Board, have been a member of The Alliance for the past five years and be able and willing to be released from their job to attend necessary meetings.
To select candidates for officers, there shall be a Nomination Committee consisting of a Chair appointed by the President and one member from each State in the District, appointed by the President of the State Association.
The Nomination Committee shall submit a slate of at least two names for each office to the Representative Assembly, after which the presiding officer shall call for nominations from the floor. A majority of the votes cast shall be indicated for one person; otherwise the two persons with the highest number of votes shall again be voted upon.
No person shall be eligible for re-election to the same office except the Secretary and Treasurer. No person shall hold more than one elective office at the same time nor shall any person be a final candidate for more than one elective office during any election meetings. No person shall be eligible for office who has not held three (3) years continuous membership in The Alliance and (3) years in the District immediately prior to election.
A person holding one elective office to be served in a subsequent year may not accept nomination for another office.
When the National Convention of the Alliance is held in the District the terms of office of the Executive Board (with the exception of the District Representative to the Alliance, the Secretary and the Treasurer) the Officers-Elect; Section Chairs and Section Chairs-Elect; shall be extended until the next regular Convention of the District.
Should the term of the District Representative expire on a year when the National Convention meets in the District, a special election shall be held to elect a replacement.
COMMITTEES
Section 1.8.6.1
There shall be Standing Committees and Presidential Committees.
The Standing Committees shall be: Advocacy, Archives, District Scholar, Diversity Awareness, Financial Advisement, Fitness Education and Assessment, Jump Rope For Heart, Necrology, Nominating, Recognition, Research Grants and Projects, Retiree Network, Structure and Function, and Convention Site.
The Presidential Committees are indefinite in number and are appointed for relatively specific duties.
The President shall appoint all members of committees with the exception of the Convention Committees as hereinbefore and hereinafter provided.
Membership on committees shall be for one or three years at the discretion of the Executive Board. When membership is on a three year basis the terms of the committee members shall be rotated so one-third of the members are replaced each year.
The function, organization, and methods of procedure of the various committees are set forth in their respective Operating Codes.
DEFINITION OF DISTRICT
By authorization of The Alliance, the following states shall comprise the Central District:

DIVISIONS & SECTIONS
Section 1.8.8.1
The following Divisions and Sections are recognized by the Representative Assembly: HEALTH EDUCATION DIVISION - School Health Education, Community Health Education; SPORT & PHYSICAL EDUCATION DIVISION - Aquatics, Sports, Elementary Physical Education, Secondary Physical Education, College Physical Education and Adaptive Physical Education; LEISURE & RECREATION DIVISION - Leisure Education, Therapeutic Recreation and Recreational Sports; DANCE DIVISION - Performance, and Education; GENERAL DIVISION - Research, Student, and History.
Each Section , with the exception of the Student Section shall select a Chair-Elect according to the procedure specified by the Representative Assembly. No Section Chair shall continue in office for more than two consecutive years. The President shall appoint a Faculty Advisor for the Student Section. The Chair-Elect shall serve as Secretary for the section and succeed to position of Section Chair after one year in office, except as provided in Article II, Section 1.8.2.8.
In cooperation with the Division Vice-Presidents, the Chairs and Chairs-Elect of each Section shall arrange for Section meetings in connection with the annual Convention for the interest which they represent.
The Chair-Elect of the Section shall record the proceedings of the Section meeting and summarize the same for presentation to the Convention Manager of the District.
To be eligible for affiliation as a Section with the District, a group must present a request to the Executive Board for a group meeting and program in connection with The District Convention. This request must be accompanied by the signature of at least twenty-five members of The District, together with a statement of the aims and purpose of the group and the type of program which it proposes to sponsor. This request must be presented at least ninety days before the scheduled time for the District meeting. If this request is granted and the meeting held, the group may then proceed to petition the Representative Assembly for affiliation as a section in accordance with Section 1.8.8.6.
To become affiliated with The District, a Section shall petition the Representative Assembly through the Secretary prior to the annual meeting of the Representative Assembly. The petition shall include the title, purpose, and officers of the Section, a copy of the minutes of its last regular meeting, list of those attending the meeting who are members of The Alliance and the name of the representative proposed for the Representative Assembly as provided in Section 2 of this article.
The Representative Assembly may accept or expel any Section at a regular authorized meeting by a two-thirds vote of the members present. A Section may be expelled for violation of the Constitution and Bylaws of the District or The Alliance.
CONVENTION
Section 1.8.9.1
A District Convention shall be held annually.
The place of the annual meeting of The District shall be selected at least two years in advance by the Representative Assembly at the last regular meeting. A written invitation must be submitted from the accredited representative of the public schools of each of the cities proposed.
The District Convention, except for the selection of the Convention city, shall be conducted by a Convention Committee composed of the Executive Board, the President of the host State Association, and one member from the Convention city, that member to be selected by the Executive Board.
The registration fee for members and guests at the annual Convention shall be set by the Executive Board of the District.
The District Convention shall be considered as part of The Alliance Convention when The Alliance convenes within the boundaries of the Central District.
HONOR AWARDS
Honor Awards may be given annually to members who have made outstanding contributions to the field of Health, Physical Education, Recreation or Dance.
FINANCES
Section 1.8.11.1
The Representative Assembly shall, at its annual meeting, determine the amount of money required to conduct the business of the District for the following year.
For purposes of accounting, the fiscal year shall begin June 1 and shall terminate May 31. The Treasurer's books shall be reviewed at the close of the fiscal year.
RULES OF ORDER
Questions of procedure shall be decided according to Robert's Rules of Order, Revised, unless otherwise provided in this Constitution and Bylaws.
AMENDMENTS
Amendments to the Bylaws may be proposed by the Representative Assembly members or by members of the District. In the latter case, twenty-five members in good standing shall petition the Representative Assembly in writing; petitions may be presented in regular Representative Assembly meetings. Action may be taken immediately when requests are presented at the regular Representative Assembly meetings, or action may be deferred in either case until a later meeting of the Representative Assembly. An affirmative vote of a majority of the Representative Assembly shall be necessary for adoption of the proposed Amendments or Amendment to the Bylaws.
